General Terms and Conditions for Online Sale
1) Scope
a) These Terms and Conditions shall apply to all purchase orders submitted or to be submitted by you for any item or service offered for sale or use on or via the NAVIGON, Inc website (referred to in these Terms and Conditions as the "Products"), including, but not limited to, (i) hardware devices, accompanying items and accessories including devices, items or accessories containing pre-installed software ("Hardware"), (ii) software, including, but not limited to, pre-installed software on any of the devices, items or accessories ("Software"), (iii) services provided by NAVIGON, Inc, including Internet-based services, data services, real time information services such as traffic information, or the provision of other data, information, functionality or content ("Services"). NAVIGON, Inc reserves the right to make amendments or additions to these Terms and Conditions at any time without prejudice to the purchase orders already submitted.
b) By submitting an order, you accept and are bound by all the Terms and Conditions herein and any amendments and additions to it.
2) Orders
a) Any purchase order submitted is subject to acceptance by NAVIGON, Inc. Only upon acceptance by NAVIGON, Inc by way of an order confirmation is the sale concluded.
b) NAVIGON, Inc reserves the right to reject any orders in full or in part or to apply a maximum order amount.
c) All orders for Hardware are subject to stock availability.
3) Price and payment
a) The purchase order total sales price indicated on the website includes: the sale price for product order, shipping and handling charges, and applicable sales tax based on the taxing jurisdiction based on the ship to address. If sales tax is not assessesd as a part of your purchase order total, you are responsible for any applicable taxes including but not limited to sales, use or other government levies. Product prices are subject to change at any time but will not affect purchase orders made prior to the date of a price change.
b) All purchases must be paid for through the payment service as made available by NAVIGON, Inc ("Payment Service"). In order to submit orders and use the Payment Service you must supply details of your preferred payment method, billing and shipping address (if applicable) and any other details necessary to complete the purchase.
c) If, for whichever reason, payment through the Payment Service should fail, NAVIGON, Inc will send an invoice to you for the amount payable. Payment must be made by cheque, postal order or credit card within 15 days from the date of the invoice.
4) Delivery and risk of loss
a) NAVIGON, Inc will endeavour to deliver the Product within 30 days of order acceptance. If multiple Products are purchased, NAVIGON, Inc reserves the right to deliver each Product separately.
b) Products will be delivered either to your delivery addressor electronically. The risk of loss or damage to the Products will pass to you at the moment the Products are delivered to you.
c) If you refuse or neglect to take delivery of the Products, NAVIGON, Inc reserves the right to charge you for any additional shipping costs and reasonable cost of storing the Products until delivery can be made.
d) If delivery to you should fail for any reason outside of NAVIGON, Inc's control, NAVIGON, Inc reserves the right to cancel the purchase order and refund any monies paid.
e) If NAVIGON, Inc delivers a Product to you by mistake; you shall immediately inform NAVIGON, Inc of its mistake by email via: support.us@navigon.com and you shall, at NAVIGON, Inc's request, immediately arrange for the return of the Product (the shipping costs to return such Product shall be paid by NAVIGON, Inc), de-install or destroy the Product.
f) Acceptance of a non-ordered Product does not relieve you from acceptance and payment of the Product you initially ordered, unless otherwise agreed by NAVIGON, Inc.
5) Cancellation/Return Policy
a) NAVIGON, Inc allows you to cancel a purchase order for Product for any reason provided that it has not yet been used at any time during the 7 working days following the date of delivery to your delivery address, and will refund the Product purchase price and sales tax, if applicable, actually paid. No refund of the shipping and handling charge for delivery of the Product to you will be made. If you choose to cancel the purchase order for Product, you must contact NAVIGON, Inc during the 7 working days following delivery by email via: support.us@navigon.com to obtain a Return Materials Authorization number. The Product should be returned in its original packaging, free of all interests, liens, or claims otherwise, to the address provided by NAVIGON, Inc. You are responsible for payment of the shipping costs to return the Product.
b) Purchases of Software may not be cancelled. You will be responsible for the purchase price of any Software purchases even if there is the return of Hardware on a purchase order.
c) You agree that the supply of Services by NAVIGON, Inc will commence immediately on NAVIGON, Inc's acceptance of your purchase order. You will not be able to cancel the purchase order after supply of the Services commences, unless NAVIGON, Inc fails to provide the Services with reasonable care and skill.
